Abbreviated CVsMR FD BUTLER Mr Butler graduated from the University of Natal in 1974 with a BSc Chemical Engineering degree. In 1981 he obtained an MBA from Wits Business School. During his study career, he received various awards and scholarships including the Nedbank Group MBA Student of the Year award in 1981. He was a fellow member of SAICHE and SRM. At present he is a private consultant in risk management and business strategies, having occupied senior positions including the position of chairman of CRM International Group (now Alexander Forbes Business Risk Solutions) during the period 1980 to 2000. He is the chairman of the risk committee and a member of the audit committee. Mr NJ Crosse Mr Crosse joined Omnia as a project engineer in 1978. In 1985, Mr Crosse was appointed as managing director of listed company Omnia Fertilizer. In 1986 he initiated a diversification strategy resulting in the formation of a group of companies including an explosives company – BME, an agricultural seed company – Carnia, a large farming operation, an industrial chemicals company – Intaba as well as the Omnia Fertilizer operation. Mr Crosse was appointed Group managing director 1990, and led the expansion of the Group into Africa. In 1999 Mr Crosse relinquished the position of managing director and was appointed as a nonexecutive director, becoming chairman of the Omnia Group in 2000. Mr Crosse also chairs the remuneration committee and is a member of the risk committee. Mr Crosse represents Omnia on the board of CAIA – the Chemical and Allied Industry Association. Mr R Havenstein Mr Havenstein is a chemical engineer by training and has a wealth of experience in the platinum mining industry, the chemical industry and the fertilizer industry, certainly very relevant expertise for Omnia. Mr Havenstein has served as a director of Anglo Platinum, Northern Platinum, Simmer and Jack, Mintek and Sasol and has also served on the councils of both the Chamber of Mines and CAIA. Mr Havenstein joined Omnia as an independent nonexecutive director on 7 November 2007, was appointed lead independent director on 30 September 2010 and was appointed to the risk committee on 17 February 2011. Ms HH Hickey Ms Hickey completed her articles at Fisher Hoffman Stride and after a period as partner of Ironside Greenwood joined BDO Spencer Stewart in 1990 as National Technical and Training Manager. Ms Hickey joined Transnet in 1994 as Acting Head of Internal Audit in order to implement and execute a transformation process and, particularly, to transform the internal audit department of Transnet from a traditionally focused unit to a more modern risk-based function. In 1998, after a period with Ernst & Young and Liberty Life, Ms Hickey joined AngloGold Ashanti initially as Group Internal Audit Manager and thereafter as Executive Officer: Head of Risk, a position held until recently. Ms Hickey is a registered chartered accountant, previously served as chairman of the South African Institute of Chartered Accountants (SAICA) and currently performs board evaluations for the Institute of Directors. Ms Hickey was appointed an independent nonexecutive director and a member of the audit committee in 2008, and was appointed chairman of the audit committee on 30 September 2010. Ms D Naidoo Ms Naidoo is a qualified Chartered Accountant (SA) and holds a BCom and Post Graduate Diploma in Accounting as well as a Masters of Accounting degree (University of Natal). She is a member of the South African Institute of Chartered Accountants, African Women Chartered Accountants and the Institute of Directors of Southern Africa. Ms Naidoo worked at Sanlam Capital Markets for more than nine years where she served, inter alia, as the Head of the Debt Structuring Unit and was appointed to the sub-credit committee of the Sanlam Investment Cluster. Ms Naidoo currently serves as an independent nonexecutive director on the boards of Futuregrowth Asset Management (Pty) Limited, Grand Parade Investments Limited, Strate Limited and Hudaco Industries Limited.
